Guanaco DEX Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the Guanaco DEX website, interface, and any related content, features, tools, data, software, and services that link to or reference these Terms (collectively, the "Services") made available by ANTAR LABS INC., doing business as Guanaco DEX ("Guanaco DEX," "Guanaco," "we," "us," or "our").

By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and in that case "you" and "your" refer to both you and that entity.

2. About Guanaco DEX

Guanaco DEX is a non-custodial interface that enables users to access decentralized functionality on the Bitcoin Cash blockchain and related infrastructure. The Services may allow you to view digital assets, pools, pricing information, routing information, transaction history, analytics, charts, token information, and other blockchain-related data, and may facilitate your independent interaction with smart contracts, scripts, token protocols, liquidity pools, and other decentralized systems.

The Services are only one possible means of accessing public blockchain networks and decentralized protocols. Guanaco does not control the Bitcoin Cash blockchain, user wallets, third-party smart contracts, scripts, token protocols, or the miners, node operators, developers, liquidity providers, token issuers, and other network or ecosystem participants that support decentralized networks and applications.

Nothing in the Services constitutes financial, investment, legal, tax, accounting, or other professional advice.

3. Non-Custodial Nature

Guanaco is a non-custodial interface. We do not take possession of, hold, store, or control your digital assets at any time. You remain solely responsible for your wallet, your digital assets, your transaction decisions, and any instructions you submit through the Services.

Because Guanaco is non-custodial, we cannot access, recover, freeze, transfer, reverse, cancel, modify, or refund any digital assets or blockchain transaction. Transactions you initiate are executed by public blockchain networks and applicable smart contracts, scripts, token protocols, and other decentralized systems, not by Guanaco.

4. No Broker, Exchange, Adviser, Fiduciary, or Counterparty Relationship

Guanaco is not a centralized exchange, broker, dealer, custodian, investment adviser, fiduciary, financial intermediary, clearing agency, payment processor, or counterparty. We do not execute trades on your behalf, recommend transactions, provide investment advice, provide personalized financial guidance, or act as your agent.

Any swap, trade, liquidity provision, liquidity removal, or other blockchain interaction made through the Services is initiated and authorized solely by you. Guanaco is not a party to transactions between users, liquidity pools, token issuers, protocols, or other third parties.

5. User Wallets and Private Keys

Guanaco does not provide, operate, maintain, control, or offer a wallet. To use many features of the Services, you must connect and use your own compatible third-party or self-custodial wallet. Your use of any wallet is solely at your own risk and subject to the terms and conditions of the applicable wallet provider.

You are solely responsible for choosing and using your wallet and for maintaining the security of your wallet, devices, credentials, seed phrases, backup materials, passwords, and private keys. Guanaco does not receive, store, control, or have access to your private keys, seed phrases, passwords, wallet credentials, or funds, and cannot restore access to your wallet if they are lost, stolen, compromised, or destroyed.

You acknowledge that anyone with access to your private keys, seed phrase, device, or wallet credentials may be able to control your digital assets, and Guanaco is not responsible for any unauthorized access, theft, or loss arising from such access.

6. Eligibility

By accessing or using the Services, you represent and warrant that:

  • You are of legal age and otherwise legally capable of entering into a binding agreement under applicable law.
  • Your access to and use of the Services is lawful in your jurisdiction.
  • You will comply with all laws, rules, and regulations applicable to your use of the Services.
  • You are not using the Services on behalf of any person or entity that is prohibited from using the Services.
  • You are not located in, organized in, resident in, or ordinarily resident in any restricted jurisdiction identified in these Terms or otherwise communicated by Guanaco.

You must not use the Services if doing so would violate applicable law or expose Guanaco, other users, or third-party service providers to legal or regulatory risk.

7. Compliance, Sanctions, and Restricted Jurisdictions

You represent and warrant that you are not:

  • The subject of sanctions or designated on any list of prohibited or restricted persons maintained by any relevant governmental authority.
  • Owned or controlled by, or acting on behalf of, any sanctioned or restricted person.
  • Located in, resident in, organized in, or acting from any jurisdiction that Guanaco identifies as restricted from time to time.

You further agree that you will not use the Services in connection with any activity that would violate applicable anti-money laundering, counter-terrorist financing, sanctions, export control, or similar laws and regulations.

Guanaco may implement access controls, geoblocking, wallet risk screening, or other compliance and risk-mitigation measures where required or deemed appropriate. Such measures may not be complete or effective in all cases. You remain solely responsible for ensuring that your access to and use of the Services is lawful.

8. Blockchain Transactions and Irreversibility

Transactions submitted through the Services are broadcast to public blockchain networks and may interact with smart contracts, scripts, token protocols, liquidity pools, or other decentralized infrastructure. Once submitted to the network, transactions may be pending for a period of time, may fail, may be delayed, or may become irreversible if confirmed.

You acknowledge and accept that blockchain transactions are generally irreversible. Guanaco cannot cancel, reverse, or modify a submitted or confirmed transaction, even if it was initiated by mistake, includes incorrect information, fails economically, or results in loss.

Transaction outcomes may be affected by network congestion, mempool conditions, software bugs, reorgs, forks, wallet failures, insufficient balances, smart contract or script logic, slippage settings, expired deadlines, malformed transaction parameters, or other technical conditions beyond our control.

9. Digital Asset and DeFi Risks

Using the Services involves substantial risk. Digital assets and decentralized finance products are highly speculative, volatile, and may lose all value. You acknowledge and accept, without limitation, the risks of:

  • Severe price volatility and sudden market movements.
  • Smart contract, script, and token protocol vulnerabilities, coding errors, logic flaws, exploits, hacks, and unforeseen interactions.
  • Blockchain-specific risks on Bitcoin Cash, including network instability, forks, congestion, denial-of-service activity, miner behavior, protocol changes, and ecosystem fragmentation.
  • Loss resulting from user error, including entering the wrong wallet address, selecting the wrong token, using incorrect slippage or deadline settings, signing unintended transactions, or interacting with malicious websites or contracts.
  • Failure or inaccuracy of charts, analytics, token data, pricing feeds, routing data, pool information, or other displayed information.
  • Risks arising from low liquidity, volatile liquidity, price impact, failed routing, transaction ordering effects, arbitrage activity, front-running-like behavior, and rapid changes in pool reserves.
  • Counterparty and project risk associated with token issuers, liquidity providers, bridge operators where applicable, oracle providers, API providers, indexers, and other third parties.
  • Wallet software bugs, hardware failures, malware, phishing, social engineering, and compromised devices.

You are solely responsible for evaluating all risks associated with your use of the Services and any digital asset or protocol with which you interact.

10. Liquidity, Slippage, and Pool Risks

If the Services enable or display liquidity pools or similar decentralized market infrastructure, you acknowledge that liquidity provision and trading involve material risk.

Swaps may execute at prices different from the price displayed when you submit a transaction. Market conditions may change between submission and confirmation, which may result in slippage, partial execution effects, poor execution, or failed transactions. Large orders, low-liquidity assets, rapidly changing markets, and volatile pools may materially increase these risks.

If you provide liquidity, you understand that you may be exposed to impermanent loss, adverse selection, sudden changes in pool composition, diminished fee generation, and losses resulting from token volatility, smart contract issues, script issues, pool design, or malicious or low-quality assets. There is no guarantee that any pool will maintain liquidity, volume, activity, or value.

11. Tokens, Token Lists, and Token Information

The Services may display tokens, token symbols, logos, names, token lists, metadata, market information, pool associations, verification labels, warnings, or similar information. Such information may be supplied by third parties, automated processes, public sources, or community-maintained resources and may be incomplete, inaccurate, misleading, outdated, or malicious.

Guanaco does not endorse, verify, investigate, guarantee, or assume responsibility for any token, pool, project, asset, or third-party service displayed through the Services. Display of a token, pool, project, or asset does not constitute a recommendation, solicitation, approval, verification, due diligence finding, or representation that the asset is authentic, safe, legally compliant, or suitable for any purpose.

Some tokens may be fake, impersonative, non-functional, malicious, thinly traded, improperly configured, or designed to cause loss. You are solely responsible for independently verifying contract addresses, token details, economic characteristics, and legitimacy before engaging in any transaction.

12. Fees

Your use of the Services may involve network fees, transaction fees, wallet fees, third-party service fees, liquidity provider fees, protocol fees, or similar charges. These fees may change at any time and may not be controlled by Guanaco.

Any fee estimates or transaction previews shown through the Services are informational only and may be incomplete or inaccurate. You are solely responsible for reviewing and accepting all fees before authorizing a transaction.

Guanaco may in the future introduce fees for certain Services or features. If we do, we may disclose them through the interface, in supplemental terms, or by updating these Terms.

13. Third-Party Services and Content

The Services may rely on or link to third-party wallets, block explorers, APIs, infrastructure providers, analytics providers, token list providers, pricing services, charting providers, data indexers, bridges where applicable, websites, software libraries, or other services and content (collectively, "Third-Party Services").

Third-Party Services are not controlled by Guanaco. We do not endorse, monitor, verify, or guarantee the availability, security, accuracy, legality, quality, or performance of any Third-Party Service. Your use of Third-Party Services is entirely at your own risk and may be subject to separate terms, conditions, and privacy policies imposed by the relevant third parties.

Guanaco is not responsible or liable for losses arising from Third-Party Services, including downtime, inaccurate data, service interruptions, outages, malicious code, unsupported assets, wallet failures, bridge failures, oracle failures, or third-party misuse of your information.

14. Prohibited Activities

You must not, directly or indirectly, use the Services to engage in, facilitate, or attempt any of the following:

  • Any unlawful activity or violation of applicable laws or regulations.
  • Money laundering, terrorist financing, sanctions evasion, or facilitation of prohibited transactions.
  • Fraud, theft, deception, phishing, impersonation, or misrepresentation.
  • Market manipulation, wash trading, spoofing, pump-and-dump schemes, or other deceptive or abusive trading behavior.
  • Distribution of malware, spyware, viruses, ransomware, or other harmful code.
  • Unauthorized access to wallets, accounts, devices, systems, smart contracts, scripts, or networks.
  • Attacks on the Services, smart contracts, scripts, infrastructure, APIs, or related systems, including denial-of-service attacks, exploits, vulnerability probing, or attempts to disrupt operations.
  • Scraping, crawling, harvesting, or extracting data from the Services in a manner that is abusive, excessive, competitive, or otherwise unauthorized.
  • Circumventing, bypassing, or attempting to bypass any access restrictions, sanctions controls, rate limits, security measures, or technical protections.
  • Infringing or misappropriating intellectual property, privacy rights, publicity rights, or other rights of Guanaco or any third party.
  • Using the Services in a manner that could damage, disable, overburden, or impair the Services or interfere with another user's access or use.

Guanaco may investigate suspected violations and may restrict or block access to the Services to the extent we deem appropriate.

15. User Responsibilities

You are solely responsible for:

  • Conducting your own due diligence before engaging in any transaction or interacting with any token, pool, or protocol.
  • Reviewing all transaction details before signing or submitting them through your wallet.
  • Ensuring the compatibility of your wallet, assets, and intended transactions with the Bitcoin Cash network and any applicable smart contracts, scripts, token protocols, or interfaces.
  • Maintaining the security of your devices, wallet software, internet connection, and operational practices.
  • Keeping records of your transactions and activity as needed for tax, accounting, compliance, or legal purposes.

You acknowledge that the Services may provide informational tools only and that you should not rely on displayed information as the sole basis for any decision. We do not guarantee that the Services, any interface, any route, any pool, any token, or any functionality will remain available.

16. Taxes

You are solely responsible for determining whether taxes apply to your use of the Services and for calculating, reporting, and paying any taxes, duties, levies, or assessments arising from your transactions, holdings, income, gains, losses, or other digital asset activity.

Guanaco does not provide tax advice and is not responsible for determining the tax consequences of any transaction or activity involving the Services.

17. Intellectual Property

The Services, including the Guanaco DEX name, Guanaco branding, logos, interface design, text, graphics, software, compilations, and other content made available by us, may be protected by intellectual property and proprietary rights.

Subject to your compliance with these Terms, Guanaco grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purpose.

You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit any portion of the Services except as permitted by applicable law or by express written permission from Guanaco.

Certain components associated with the Services may be made available under open-source or source-available licenses. Your use of those components is governed by the applicable license terms, which will control in the event of conflict with these Terms as to those components.

18. Privacy

Please review our Privacy Policy, which describes how ANTAR LABS INC., doing business as Guanaco DEX, may collect, use, disclose, and protect information in connection with the Services.

Because the Services involve public blockchain activity, certain information about your wallet addresses, transactions, and onchain interactions may be publicly visible and permanently recorded on public blockchains. Guanaco cannot control how third parties observe, index, analyze, copy, or reuse publicly available blockchain data.

19. Modifications to the Services

Guanaco may, at any time and without liability, modify, update, suspend, discontinue, limit, or remove any aspect of the Services, in whole or in part, temporarily or permanently. This may include changing available features, supported assets, displayed data, routing logic, integrations, or interface functionality.

We are not obligated to continue supporting any particular feature, token display, pool, integration, or functionality. We do not guarantee that the Services, any interface, any route, any pool, any token, or any functionality will remain available.

20. Suspension, Termination, and Restricted Access

We may suspend, terminate, restrict, or block your access to the Services, in whole or in part, at any time, with or without notice, if we determine or suspect that:

  • Your use may violate these Terms or applicable law.
  • Your use may expose Guanaco, users, or third parties to legal, regulatory, sanctions, security, or reputational risk.
  • There is suspicious, fraudulent, abusive, manipulative, or unauthorized activity associated with your use.
  • Technical, security, or operational issues require protective action.

Guanaco may also restrict access to the Services by region, wallet address, IP address, device, protocol, interface path, or other criteria. We do not guarantee that any access restriction will be effective or that any permitted access will remain available.

21. No Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUANACO DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AND AVAILABILITY.

WITHOUT LIMITING THE FOREGOING, GUANACO DOES NOT WARRANT THAT THE SERVICES WILL BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, ACCURATE, COMPLETE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUANACO AND ITS SERVICE PROVIDERS, CONTRIBUTORS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

WITHOUT LIMITING THE FOREGOING, GUANACO WILL NOT BE LIABLE FOR LOSSES OR DAMAGES ARISING FROM OR RELATED TO:

  • Failed, reversed, delayed, mispriced, or economically unfavorable transactions.
  • Smart contract, script, token protocol, and liquidity pool bugs, exploits, vulnerabilities, hacks, or failures.
  • Forks, congestion, downtime, chain instability, or other blockchain-related events.
  • Wallet failures, lost private keys, compromised seed phrases, user mistakes, or unauthorized access.
  • Inaccurate or outdated token data, price data, analytics, routing information, pool information, or third-party content.
  • Malicious, fake, or thinly traded tokens or pools.
  • Third-Party Services, including wallets, APIs, bridges where applicable, infrastructure providers, data providers, or external websites.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF GUANACO FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00) OR ITS EQUIVALENT IN THE LOCAL CURRENCY OF THE APPLICABLE JURISDICTION.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you to the extent prohibited by law.

23. Indemnification

You agree to defend, indemnify, and hold harmless Guanaco and its respective contributors, service providers, licensors, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:

  • Your access to or use of the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law, rule, or regulation.
  • Your infringement or misappropriation of any rights of any person or entity.
  • Any dispute between you and any third party, including another user, token issuer, liquidity provider, wallet provider, or service provider.

24. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be governed by the laws of the Republic of Panama, without regard to conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved in the competent courts of the Republic of Panama, subject to applicable law and any mandatory legal requirements.

25. Changes to These Terms

We may update or revise these Terms from time to time. If we do, we will post the updated version on the relevant page and revise the "Last Updated" date above. Changes become effective when posted unless otherwise stated.

Your continued access to or use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
